HAPPY HULL TERMS AND CONDITIONS OF SALE AND WEBSITE USE

These Terms and Conditions (“Terms”) govern the sale, supply, and use of goods and services by Happy Hull (“Supplier,” “we,” “us,” or “our”) to any purchaser or user (“Customer,” “you,” or “your”). By placing an order, accepting delivery of goods, or using our website and online services (collectively, the “Services”), you agree to be bound by these Terms.

1. Definitions

  • Supplier: Happy Hull, a company incorporated in the United Kingdom, with registered office at Unit 3, 25 Ditchling Rise, Brighton BN1 4QL.
  • Customer: Any individual or entity that purchases goods or services from the Supplier, whose order is accepted by the Supplier, or who uses the Supplier’s website and Services.
  • Goods: Products supplied by the Supplier, including floating docks and hull protection products (“Happy Hull”).
  • Services: All services provided by the Supplier, including delivery, installation, support, and online store access.

2. Acceptance of Terms

  • These Terms apply to all quotations, orders, and sales of Goods and Services, as well as the use of the Supplier’s website.
  • Any additional or conflicting terms proposed by the Customer are expressly excluded unless agreed in writing by an authorised representative of the Supplier.
  • Acceptance of an order, payment, or use of the Services constitutes agreement to these Terms.

3. Orders and Payment

  • All orders constitute an offer by the Customer to purchase Goods subject to these Terms. Orders are accepted only upon written confirmation by the Supplier.
  • Full payment is required at the time the order is placed. No deposits or credit arrangements are provided.
  • Orders must be reviewed carefully by the Customer prior to submission. Once accepted, orders may only be modified with the Supplier’s written consent, and modifications may incur additional charges.
  • Delivery insurance may be requested at the Customer’s expense.

4. Pre-Purchase Obligations

  • The Customer must ensure the boat hull is free from barnacles or marine growth prior to installation.
  • The Customer must measure and confirm mooring space or slip with the Supplier prior to ordering. The Goods may increase the beam of the boat by 50–70 cm at the waterline.
  • The Supplier is not responsible for mooring type, water conditions, or accessibility.

5. Custom Manufacture and Specifications

  • Bespoke Production: All Goods are custom-manufactured on-demand to the specific dimensions, make, model, and year of the Customer’s boat.
  • Sizing Brackets as a Guide Only: The standard sizing categories displayed on our website and marketing materials (including but not limited to XS, MED, LRG, XL, and XXL) serve purely as a pricing and dimension guide. Selection or purchase of a sizing bracket does not constitute the ordering of an "off-the-shelf" or stock product.
  • Accuracy of Data: The Customer is solely responsible for ensuring that all boat specifications, measurements, modifications, and hull data provided during the ordering process or sizing quiz are 100% accurate.
  • Operational Constraints: For boats with outboard engines, lifting and tilting mechanisms must operate fully and correctly. For boats with inboard, stern drive, pod drive, shaft drive, or jet propulsion, engines must remain switched off while inside the Goods, and water must not be extracted with rear flaps closed. Bow thrusters must not be operated while the boat is inside the Goods. The Supplier is not responsible for performance issues or damage arising from modifications made to the boat without its prior written consent.

6. Pricing

  • Prices are exclusive of delivery, taxes, customs, or other import charges unless expressly stated.
  • Prices are subject to change at the Supplier’s discretion prior to order acceptance. The applicable price is the one confirmed in the order confirmation.
  • Additional charges may apply for order modifications, changes, or special requirements.

7. Retention of Title and Risk

  • Ownership of Goods remains with the Supplier until payment in full is received.
  • Risk of loss or damage passes to the Customer upon delivery.
  • The Customer is responsible for monitoring and tracking shipments.

8. Delivery

  • Delivery arrangements shall be made by the Customer in consultation with the Supplier.
  • Delivery times are estimates only. The Supplier shall not be liable for delays due to carriers, customs, or events beyond its control.

9. Returns, Cancellations, and Refunds

  • Exclusion of Statutory Right to Cancel: Because all Goods are bespoke and custom-made on-demand to the Customer’s specific boat requirements, orders cannot be cancelled, modified, or refunded once production has commenced. They are entirely exempt from statutory cooling-off or "change of mind" return rights under consumer protection laws.
  • Acceptance of Goods: Deploying the Goods into the water, or allowing your boat to enter the sleeve, constitutes final and absolute acceptance of the Goods by the Customer.
  • Supplier Cancellation: The Supplier reserves the right to cancel an order at any time if the Customer breaches these Terms, provides false or inaccurate boat information, or if manufacturing to the boat's specific layout is deemed unfeasible by our production team.
  • Warranty Assessments: Goods may only be returned if they are verified to possess a manufacturing defect under Clause 10. All warranty returns must be returned to the Supplier’s base for physical assessment. For further details, see our standalone Refund Policy.

10. Warranty

  • The Supplier warrants the Goods against manufacturing defects for a period of two (2) years from the date of delivery.
  • Warranty coverage is limited to repair or replacement of defective Goods.
  • All warranty returns must be sent to the Supplier’s base in Brighton, UK. The Customer is responsible for organising and paying for return transit upfront. If, upon physical inspection by the Supplier, the Goods are verified to possess a manufacturing defect covered under this warranty, the Supplier will refund reasonable, documented return shipping costs to the Customer.
  • The Customer bears responsibility for accurate specifications, inspections, maintenance, accidental damage, and insurance. The Supplier does not provide ongoing maintenance services or insurance for third-party damages.

11. Intellectual Property

  • All intellectual property rights, including trademarks, copyrights, and designs, remain the property of the Supplier unless otherwise agreed in writing.
  • The Customer may use the Goods and Services solely for lawful, personal, or commercial purposes as agreed with the Supplier.

12. Website Use and Online Services

  • You represent that you are of legal age to enter into these Terms and have provided accurate account, billing, and payment information.
  • Unauthorized use of the website or Services, including infringement of intellectual property, spamming, malware distribution, or harassment, is strictly prohibited.
  • The Supplier and Shopify disclaim all warranties regarding uninterrupted or error-free operation of the Services.

13. Exclusion and Limitation of Liability

  • Nothing in these Terms shall limit or exclude the Supplier’s liability for death or personal injury caused by its negligence, or for fraud.
  • Vessel Safety Disclaimer: The Goods are designed solely as a fouling protection barrier and water isolation sleeve. The Goods are NOT a boat flotation mechanism, mooring line substitute, or primary boat bilge system.
  • The Supplier shall not be liable under any circumstances for any damage to the Customer’s boat, engines, hull, gelcoat, ancillaries, or third-party marina property, including but not limited to boat sinking, capsizing, water ingress, osmosis, or collision damage.
  • Subject to clauses 13(a) and 13(c), the Supplier’s liability for any claim arising from or in connection with the Goods or Services is limited strictly to the net purchase price paid by the Customer for the specific Goods in question.
  • The Supplier shall not be liable for indirect, consequential, incidental, special, or punitive damages, including loss of profit, revenue, or data.

14. Indemnification

  • The Customer shall indemnify, defend, and hold harmless the Supplier, Shopify, and their affiliates, officers, and agents from any claims, losses, or damages arising out of:

    • Breach of these Terms;
    • Violation of law or third-party rights;
    • Use of the Goods or Services.

15. Force Majeure

  • The Supplier shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, strikes, wars, or shipping delays.

16. Privacy

  • Personal information is governed by the Supplier’s Privacy Policy and Shopify’s Privacy Policy.
  • Data may be processed internationally to provide Services.

17. Feedback

  • Feedback submitted grants the Supplier a perpetual, worldwide, royalty-free license to use and modify it.
  • Feedback must not violate third-party rights or contain malicious code.

18. Errors and Omissions

  • The Supplier may correct typographical errors, pricing errors, or inaccuracies and may cancel orders if necessary.

19. Termination

  • The Supplier may terminate these Terms or access to Services at its sole discretion. Certain provisions, including Intellectual Property, Indemnification, Liability, and Governing Law, survive termination.

20. Governing Law

  • These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.

21. Severability, Waiver, and Headings

  • Any unenforceable provision shall be severed without affecting remaining Terms.
  • Failure to enforce any right is not a waiver.
  • Headings are for convenience only.

22. Changes to Terms

  • The Supplier may amend these Terms at any time. Continued use constitutes acceptance of the revised Terms.
